2. Acceptance of Terms and Eligibility
2.1. By using the Platform, the User confirms that they have reached the statutory age of majority (18 years or older) and that they have the legal capacity required to use the Platform and accept these Terms.
2.2. If the User is acting on behalf of a Business, they confirm that they have the necessary authority to use that Business's data and to request a Value Index for it.
2.3. Acceptance of these Terms occurs electronically when the User clicks the acceptance button, accesses the Platform, or uses any of its services. This acceptance is binding to the extent permitted by Applicable Laws.
3. Description of the Service
3.1. Valor provides an automated digital service that helps the User determine the estimated value of a Business based on the data entered into the Platform and on an internal computational model applied by Valor.
3.2. The Free Service displays a general value range without issuing a Report. The Paid Service issues a detailed Report made available to the User through the Platform or sent to the email address they provided.
3.3. The Service relies on data provided by the User. The accuracy of the result depends on the accuracy, currency, and completeness of that data. Valor does not independently verify the data and accepts no responsibility for any error, omission, or incompleteness in it.
3.4. Valor may modify the Service, its features, the way results are presented, the scope of required data, or discontinue or replace any feature at any time, without any obligation to the User, except where Fees have been paid for a Report that has not yet been issued.
3.5. Some features of the Platform may be in early operation or under continuous development. The Service interfaces, the operation of certain features, the format of the Report, or the way it is accessed may therefore change from time to time.
4. Regulatory Limits of the Service
4.1. The Value Index is an Automated Valuation Model (AVM) and is NOT an accredited valuation within the meaning set out in the Accredited Valuers Law. Valor is not a licensed valuation firm, the Report is not issued by a valuer accredited by the Authority, and the Report does not in any way substitute for a valuation report issued by an accredited valuation entity.
4.2. The Report is not suitable for purposes that require, by law, an accredited valuation, including judicial disputes, bankruptcy or liquidation proceedings, regulatory, tax, or financing purposes that require an accredited valuation report, or any other purpose that requires a report issued by a licensed entity.
4.3. The Report is not investment, financial, legal, or accounting advice and does not constitute a recommendation to buy, sell, or hold any asset or business. Any decision the User makes based on the Report remains their sole responsibility.
4.4. Any reference in the Platform or the Report to valuation methods, methodologies, or financial models is intended solely to explain how the Value Index is calculated, and does not mean that the Report is an accredited valuation or a professional opinion issued by a licensed entity.
5. Account and Data Management
5.1. The Free Service does not require an account. The Paid Service may require the User to provide a valid email address to deliver the Report or to manage access to it.
5.2. The User undertakes to provide accurate and current data about themselves and their Business. Valor may suspend or terminate access if there are indications that the data is inaccurate, incomplete, or used without authorization.
5.3. The User assumes full responsibility for any activity conducted through their account or through access links sent to them, and must notify Valor of any suspected unauthorized access.
5.4. Personal data and Business data are processed in accordance with the Privacy Policy published on the Platform, to the extent necessary to provide the Service, operate and improve the Platform, and as required by Applicable Laws.
5.5. The User shall not provide any data they do not have the right to provide or use. If the User enters data relating to a third party, they bear the responsibility of obtaining the necessary authorization or legal basis to do so.
6. Acceptable Use Policy
6.1. The Platform is made available for legitimate commercial use related to determining the estimated value of the User's Business, or of a Business that the User has the authority to represent.
6.2. The User is prohibited, while using the Platform or the Report, from doing any of the following:
- (a) Entering data that does not relate to a real Business, or data of a Business the User does not have authority to represent.
- (b) Manipulating data with the intent of forcing the model to produce a specific outcome, or using it to present an inaccurate value of a Business in dealings with third parties.
- (c) Presenting the Report to any party as an accredited valuation, or removing the indications that clarify its automated nature when sharing it.
- (d) Using the Platform to reverse-engineer the model, or attempting to extract reference data, methodology, or computational coefficients for reuse in another product or service.
- (e) Using the Platform to store any third-party personal data without a legal basis permitting disclosure to Valor.
- (f) Automated access to the Platform, including scraping, crawling, or bots, or performing load or penetration testing without Valor's prior written permission.
- (g) Attempting to bypass access controls, payment controls, or usage quotas by any technical or non-technical means.
- (h) Entering content that violates Applicable Laws or that harms public morals or public order in the Kingdom of Saudi Arabia.
- (i) Any use that may harm the Platform, its technical infrastructure, its users, or Valor's reputation.
6.3. Valor may suspend or terminate the account, or block access to the Report or Platform, upon any violation of these Terms or suspected violation, without any refund of Fees, while preserving any rights or remedies available to it by law.
7. Fees, Payment, and Refunds
7.1. Fees. The price of the Paid Service is displayed on the Platform at the time of purchase. Prices or offers may change from time to time without retroactive effect on completed purchases.
7.2. Payment Method. Payments are processed through an independent payment gateway or external payment provider. Use of the payment gateway is subject to its own terms and policies. Valor does not require the User to enter card data within Valor's systems and does not control the authorization, decline, or settlement procedures carried out by the payment gateway or banking institutions.
7.3. Receipt of the Report. The Report is issued after payment is completed and the required data has been entered, provided the Service is operating normally. Issuance or delivery may be delayed for technical or operational reasons or for reasons beyond Valor's control.
7.4. Refund Policy. The Report is a digital product delivered after generation and is not returnable or exchangeable once delivered. Accordingly:
- (a) If the Report cannot be issued for a technical reason attributable to Valor and Valor is unable to resolve the issue or provide a suitable alternative, the User may request a refund of the Fees paid for the unissued Report.
- (b) If the Report has been issued or made available to the User, the User is not entitled to request a refund, except in exceptional cases assessed by Valor where feasible, or where required by law.
- (c) Dissatisfaction with the result of the Report, the estimated value figure, or any analytical aspect of it does not constitute grounds for refund.
- (d) Any approved refund will be processed through the original payment method or any other method Valor considers appropriate; the time for the amount to appear may vary depending on the payment gateway or banking institution.
7.5. Valor may decline or cancel any purchase if there is a suspected pricing error, technical issue, unauthorized use, or violation of these Terms.
8. Intellectual Property
8.1. All intellectual property rights relating to the Platform, the model, the Report design, user interfaces, logos, trademarks, source code, and reference data are owned by Valor or licensed to it. These Terms do not transfer any of these rights to the User.
8.2. The Report Issued to the User. The User is granted a personal, non-exclusive, non-transferable license to use the Report for the internal purposes of their Business and to share it with their advisors, such as an accountant, lawyer, bank, or potential investor, provided the indications clarifying its automated nature are preserved. This license does not include the right to public publication, commercial redistribution, or incorporation of the Report's content into another product or service offered to third parties.
8.3. User Data. The User retains ownership of their Input Data. The User grants Valor the right to use this data to the extent necessary to provide the Service, operate the Platform, issue the Report, comply with regulatory requirements, and improve the quality of the Service in a manner that does not directly identify the User or their Business, unless the Privacy Policy provides otherwise or the User consents to broader use.
8.4. Feedback. Valor may use any comments, suggestions, or ideas the User provides regarding the Platform or the Report, without compensation and without any obligation to attribute them to their source.
9. Disclaimer of Warranties
9.1. The Platform, Service, and Report are provided "as is" and "as available", without any express or implied warranties of any kind, including warranties of fitness for a particular purpose, accuracy of outputs, uninterrupted operation, error-free service, or absolute security, to the extent permitted by Applicable Laws.
9.2. Explicit Disclaimer Regarding the Accuracy of the Estimated Value. The Value Index is an Automated Valuation Model (AVM) that relies on data provided by the User and that Valor has not independently verified. The estimated value may differ materially from:
- (a) The price at which an actual transaction on the Business is completed.
- (b) Any accredited valuation issued by a licensed valuer.
- (c) A reference value used by a bank or financing entity for its credit purposes.
- (d) A subsequent value calculated after any change in the Business's performance, sector conditions, or general market conditions.
9.3. Analytical Reading. The textual portion of the Report may include an analytical reading or automated interpretation of certain results. This portion may contain inaccurate or incomplete phrasing. In the event of any conflict between the numbers, tables, and numerical results on one hand, and the explanatory text on the other, the numbers, tables, and numerical results shall be the reference within the Report.
9.4. Third-Party Links and Parties. The Platform or the Report may contain links or references to third-party data sources or services. Valor accepts no responsibility for the content, accuracy, continued availability, or privacy or security practices of those sources.
9.5. Report Updates. The Report reflects the data and assumptions available at the time of issuance. It may not reflect any subsequent change in the Business's performance, market conditions, sector conditions, or related regulations.
9.6. Service Availability. Valor does not guarantee that the Platform or Service will always be available or free from interruption, errors, or malfunctions. Valor may temporarily suspend the Service or restrict access for maintenance, development, security, or any other operational reason.
10. Limitation of Liability
10.1. Subject to what cannot be excluded by law, Valor accepts no liability for:
- (a) Any decision the User makes or refrains from making, in whole or in part, based on the Report, the Platform, or any output from them.
- (b) Any difference between the estimated value in the Report and any actual value subsequently realized in a transaction or accredited valuation.
- (c) Any loss of profits, revenue, business opportunities, the Business's reputation, or its future expectations.
- (d) Any loss of data, disruption of access to the Platform or Report, or delay in issuing or delivering the Report.
- (e) Any indirect, consequential, special, incidental, or punitive damages, regardless of the legal basis invoked.
- (f) Any error, omission, or inaccuracy in the data entered by the User or provided to Valor.
10.2. Cap on Liability. Valor's total cumulative liability to the User, whatever the cause, contractual or non-contractual, shall not exceed the total Fees actually paid by the User to Valor for the Report giving rise to the claim. If the User has not paid any Fees, including Users of the Free Service, Valor's liability shall not exceed 100 Saudi Riyals.
10.3. Exceptions. The limitation-of-liability provisions in this section shall not apply to anything that cannot be excluded or limited under Applicable Laws.
10.4. Risk Allocation. The User acknowledges that the limited Fees for the Service reflect its digital and automated nature, and that they are not consideration for a customized advisory service, an accredited valuation, or a professional opinion issued by a licensed entity.
11. Suspension and Termination
11.1. Valor may suspend or terminate the User's access to the Platform immediately and without notice in any of the following cases: violation of these Terms, suspected fraudulent activity, request from a competent authority, or technical, operational, or security necessity.
11.2. The User may terminate their use of the Platform at any time by ceasing to use it. Termination does not cancel any obligations that arose prior to it and does not require a refund for Reports that have been issued or made available to the User.
11.3. The provisions of limitation of liability, intellectual property, applicable law, and any provisions that by their nature continue after termination, shall remain in force after termination of this agreement.
12. Modification of Terms
12.1. Valor may modify these Terms from time to time to reflect developments in the Service or changes in the regulatory or operational framework. The modified Terms are published on the Platform with an updated version number or effective date.
12.2. The modified Terms take effect from the date of publication or any later date determined by Valor. Valor may seek to notify Users of material changes through available means, but this is not a condition of validity unless otherwise required by law.
12.3. Continued use of the Platform after the modifications take effect constitutes acceptance of them. If the User does not agree to the modifications, they must cease using the Platform.
13. Force Majeure
Valor shall not be deemed in breach of any of its obligations under these Terms if performance is rendered impossible or delayed due to circumstances beyond its reasonable control, including interruption of communication networks, hosting service failures, payment system failures, natural disasters, pandemics, strikes, regulatory decisions, acts of war or terrorism, cyberattacks, or any other event beyond Valor's reasonable control.
14. Governing Law and Jurisdiction
14.1. These Terms shall be governed by and construed in accordance with the laws in force in the Kingdom of Saudi Arabia.
14.2. Any dispute arising from or relating to these Terms shall be submitted exclusively to the competent courts in the city of Riyadh, unless the law provides otherwise.
14.3. Valor may, without being obliged to, attempt to settle any dispute amicably before initiating any legal proceedings.
15. General Provisions
15.1. Authoritative Language. The Arabic text of these Terms is the official and binding version. Any translation is made available for convenience only and may not be relied upon for interpretation of the Terms or for the resolution of any dispute.
15.2. Severability. If a competent authority rules that any provision of these Terms is invalid or unenforceable, this shall not affect the remaining provisions, which shall remain in full force. The invalid provision shall be replaced by another provision that achieves the same purpose to the extent permitted by Applicable Laws.
15.3. No Waiver. Valor's failure to exercise any of its rights under these Terms, or its delay in exercising them, does not constitute a waiver and does not prevent subsequent exercise of the right.
15.4. Assignment. The User may not assign any of their rights or obligations under these Terms to a third party without Valor's prior written consent. Valor may assign its rights and obligations to any affiliated company or entity that succeeds Valor by law, without giving the User any right to object or to seek compensation.
15.5. Entire Agreement. These Terms, together with the Privacy Policy and any additional terms published on the Platform, constitute the entire agreement between Valor and the User regarding the Service, and supersede any prior oral or written agreement between the parties regarding it.
15.6. Relationship Between the Parties. The relationship between Valor and the User is that of an independent service provider and a customer. These Terms do not create any partnership, agency, employment, or joint-venture relationship between the parties.
